According to the financial report, SiTime's fourth-quarter 2025 revenue was $113.3 million, up 66% year-over-year, with adjusted earnings per share (non-GAAP EPS) at $1.53. The company also disclosed a quarterly non-GAAP gross margin of 61.2%.
On an annual basis, fiscal year 2025 revenue was $326.7 million, a 61% increase from the previous year, with cash, cash equivalents, and short-term investments totaling approximately $808.4 million by the end of the period, providing "ammunition" for future expansion and acquisitions.
Growth Driver: AI-Related Demand in Communication, Enterprise, and Data Centers
The company regards "Communication, Enterprise, and Data Center (CED)" as the main driver. Management mentioned in a conference call that CED contributed approximately $64.6 million in Q4, accounting for about 57% of total revenue, with a year-over-year increase of 160%. They also provided the "order strength" indicator: the Q4 book-to-bill ratio exceeded 1.5.

Acquisition Plan: Acquiring Renesas Timing Business Assets to Complete "Clock/Clock Tree" Portfolio
The acquisition is a longer-term narrative. SiTime and Renesas disclosed they have signed a definitive agreement for SiTime to acquire Renesas' timing business assets. The company claims this transaction will accelerate its path towards annual revenue of $1 billion and plans to explore the integration of SiTime's MEMS resonator solutions into Renesas' embedded computing products.
SiTime provided financial projections for the acquired assets: expected to bring about $300 million in revenue within 12 months post-closing, with approximately 70% gross margin, and around 75% of the acquired business revenue derived from high-growth areas like AI data centers and communication.
Transaction Terms and Timeline: Cash + Equity, Expected Completion by Year-End 2026
In terms of transaction consideration, SiTime will pay $1.5 billion in cash plus approximately 4.13 million shares of common stock, planning to cover the cash component with its funds and approximately $900 million in committed debt financing from Wells Fargo. The boards of both companies have approved the transaction, which is expected to close by the end of 2026, pending customary closing conditions and regulatory approval.
For investors, this means the short-term stock price reaction is driven more by "vision and path" rather than "immediate consolidation profit."
Q1 Guidance: Revenue Continues at High Levels, Focus on Structure and Profitability
For the first quarter of 2026, the company guides revenue between $101 million and $104 million, expected gross margin of about 62% (plus or minus 0.5 percentage points), and non-GAAP EPS projected at $1.10 to $1.17. It emphasized that the acquisition does not affect Q1 guidance.
Moving forward, the market will be watching two things: first, whether CED demand continues to rise, and second, if the acquisition can progress on schedule regarding regulatory and integration aspects, fulfilling the promise of "high margin + scalability."
