Executive Stock Incentives Under Fire at Metaplanet
Bitcoin financial management firm Metaplanet has recently come under increased investor scrutiny over its executive equity incentive plan, particularly the Series 10 stock options and the ownership structure of related stakeholder MMXX Ventures. On September 6, CEO Simon Gerovich publicly responded on social media platform X, admitting the company had not fully disclosed details of the incentive scheme. He clarified that although he is a significant shareholder of MMXX's parent company, he is not the controlling stakeholder nor involved in its trading decisions.
Origins and Controversy of the Series 10 Incentive Plan
The Series 10 equity incentive program was initially established in December 2022, before Metaplanet's bitcoin financial management strategy was finalized. Unlike direct stock grants, the plan created an equity pool equivalent to 20% of the company’s fully diluted shares. After Metaplanet launched bitcoin investing in April 2024, new share issuances to expand bitcoin holdings diluted existing shareholders. However, executives’ options increased proportionally, intensifying concerns over conflicts between management’s benefits and those of ordinary shareholders.
In August 2026, the company announced freezing the incentive pool at approximately 320 million shares, removing its previous variable adjustment tied to share capital changes, and implemented a five-year lock-up period. Nonetheless, the pool’s size was not rolled back to levels prior to bitcoin strategy implementation, prompting some investors to assert that dilution remains unaddressed. An investor using the pseudonym “Bitcoin Pharaoh” on X urged Metaplanet to disclose MMXX’s shareholder structure, recalibrate the incentive pool, and eliminate excessive additional grants.
CEO’s Holdings and Stock Performance Metrics
By the end of August, Gerovich had exercised 92,000 Series 10 options, acquiring 64 million new shares, with his direct ordinary shareholding at about 79.6 million shares—around 6.2% of fully diluted capital. Combined with MMXX’s holdings, their aggregate control exceeds 27%. Despite the sizable stakes held by the CEO and related parties, detailed transaction disclosures and profit figures remain limited, which sustains investor concerns.
Since the bitcoin management rollout in 2024, Metaplanet shares surged from roughly ¥20 to nearly ¥2,000, marking over a 10,000% increase. However, after peaking in June 2025, the stock sharply retraced and currently trades around 85% below its peak. In 2026 alone, Metaplanet’s share price declined by 43%, while the Nikkei 225 index rose 31% over the same period. Compared to peer bitcoin financial firms, Metaplanet has underperformed considerably—Strategy shares gained 40% and Strive 114% in the year.

The Metaplanet board has acted to moderate dilution by freezing the incentive pool and instituting lock-up timelines but has stopped short of reverting earlier expansions. Investor attention remains fixed on the transparency and regulatory compliance of executive incentives.
